The Merger Cleared, and Vertical Wasn't in the Room


Twelve state AGs spent a year threatening to block the Paramount-WBD deal, and when the settlement finally landed it produced a document obsessed with Pluto TV, BET, Comedy Central, CBS News governance — every legacy asset an antitrust lawyer could name. Nowhere in the concessions is there a clause about short-form, about IP licensing terms for spinoff verticals, about anything resembling the format this newsletter covers. That absence is the story. The industry writing the rules for the next five years of American media consolidation doesn't yet have a category for what ReelShort and DramaBox are doing, which means whatever rules eventually apply to vertical will be improvised, borrowed from cable-era thinking, or simply skipped.

Meanwhile Busan's ACFM finalized a 2026 lineup that puts generative AI and microdramas at the center of the market, paired with Kling AI under a banner about "new cinematic possibilities" — the exact opposite instinct. One market is legislating around channels that already exist. The other is building a pipeline for a format that didn't. Bonta called his settlement "not a blessing." Busan isn't asking permission at all. That's the gap worth watching: not who wins the merger, but who's still writing rules for television while someone else is done waiting for an invitation.
